Phase One: Pre-Contractual

Phase Two: Contractual

The risk appears when you read them together — when a protection in the term sheet disappears in the SHA, when a representation in the SPA conflicts with a warranty in the ancillary documents, or when a governance right that seemed clear in the heads of terms turns out to be unenforceable in the final structure.
